Terms of Use

The service

Xchange is a social network and chart-room companion for people who trade. The website at usexchange.app lets you post, follow people, and read a public feed grouped by symbol. A private journal is visible only to the account that wrote it. The Windows desktop app puts you in a live text and voice room for the chart symbol it detects. These Terms of Use cover the website and the service. The EULA covers the desktop software. The Privacy Policy describes what we store.

Xchange is not a securities or futures exchange, broker, dealer, commodity trading advisor, investment adviser, or market-data vendor. A handle is a name you choose. It is not proof of identity, a license, or a verified trading record. Buy and sell marks on a post are reactions from other people, not orders. Labels such as long, short, TP, SL, and BE are whatever the author typed. We do not check that a trade happened, that a price was real, or that an outcome is true.

Not advice, and not our trades

Nothing on this website, in the desktop app, or in a room is legal advice. Nothing on this website, in the desktop app, or in a room is investment, trading, tax, accounting, or other financial advice, or a recommendation to buy, sell, or hold any security, derivative, commodity, cryptocurrency, or other instrument.

ACE Systems LLC is not responsible for any financial decision any user or viewer makes, including decisions based on a post, a vote, a journal note, a room message, a voice conversation, or silence from any of those. You can lose money trading. That loss is yours.

Who may use it

You must be at least 18 years old. The service is not for children. By creating a handle you agree to these terms, the Privacy Policy, and the EULA. If you use Xchange for a company, you also confirm you can bind that company.

Your account

An account is a handle and one or more passkeys. We do not give you a password to type. You are responsible for the devices and password managers that hold your passkeys. Do not share your account. Do not choose a handle that impersonates another person, a firm, or ACE Systems LLC.

What you post

You keep ownership of the text, photos, and video you submit. You give ACE Systems LLC a non-exclusive license to host, store, reproduce, and display that material so the service can run. For a post you send to the feed, that license includes showing it to other users and viewers. For a journal post or a journal note, the license is only to store it and show it back to you. You can delete a post that is not a trade. Deleting your account removes the handle and the posts, journal, notes, and media attached to it, including trades.

You are responsible for what you post and what you say in a room. Do not post material you do not have the right to share. Do not post someone else's licensed market data, including prices, depth, or charts you are not allowed to redistribute. Do not post another person's private information.

Acceptable use

You will not:

• break the law, or help someone else break it, through the service;
• harass, threaten, or impersonate anyone;
• post content that sexually exploits a minor;
• use the service to manipulate a market, to pump an instrument, or to spread a statement you know is false in order to move a price;
• solicit funds, sell signals, or offer a security or managed account through the service unless you are legally allowed to do that and you make the required disclosures yourself;
• probe, disrupt, or overload the service, or attempt to access an account, journal, or room you are not allowed to use;
• scrape the service in a way that degrades it, or resell access to it.

We may remove content or suspend a handle when we believe these terms were broken. We do not promise to monitor the feed or the rooms.

Other people's content

Posts, votes, and room conversation come from users. We do not adopt them as our own. A viewer should assume a stranger on the internet wrote them. TradingView is a trademark of TradingView, Inc. Xchange is an unofficial companion and is not affiliated with, endorsed by, or sponsored by TradingView.

The desktop app

The Windows app is licensed, not sold, under the EULA. It can read the symbol of the TradingView Desktop chart you are viewing so it can offer the matching room. It is not a broker terminal and it cannot place an order for you.

Availability

The service is provided as available. We may change, pause, or stop a feature. We do not promise that a room, a feed, voice, or the desktop detector will be up, accurate, or free of delay.

Disclaimers and liability

The website, the service, and the desktop app are provided "as is" and "as available." To the fullest extent the law allows, ACE Systems LLC disclaims warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the service will be uninterrupted or error-free.

To the fullest extent the law allows, ACE Systems LLC and its members, employees, and contractors will not be liable for any trading loss, lost profits, or other indirect, incidental, special, consequential, or punitive damages, or for any financial decision a user or viewer makes, even if we were told those damages were possible. Our total liability for a claim arising out of the service will not exceed the greater of the amount you paid ACE Systems LLC for Xchange in the twelve months before the claim or one hundred U.S. dollars. Some places do not allow these limits. In those places, the limits apply only as far as the law allows.

Indemnity

You will defend and indemnify ACE Systems LLC against claims, losses, and reasonable attorney's fees arising out of your content, your use of the service, your trading or other financial decisions, or your breach of these terms.

Changes, law, and contact

We may update these terms by posting a new version on this page and changing the effective date. If you keep using Xchange after that date, the new terms apply. ACE Systems LLC was formed in Ohio. These terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. State and federal courts located in Ohio are the venue for disputes, except where the law gives you a right to a local forum that cannot be waived.
